By registering for an account, accessing the Service, or making any API request, you represent that you (a) have read and understood these Terms, (b) are at least 18 years of age or have the legal capacity to enter into contracts in your jurisdiction, and (c) agree to be bound by these Terms.

KodaAPI is an AI API gateway that provides unified access to multiple large language model (LLM) providers through a single, OpenAI-compatible API endpoint. The Service includes:

To use the Service, you must create an account by providing a valid email address and a secure password, or by authenticating via a supported third-party provider (e.g., Google). You agree to:

Your access to the Service is subject to usage limits that may vary by account tier, available balance, or other factors. We may apply rate limits at the level of individual API keys, accounts, or IP addresses to ensure fair access for all users.

The Service uses a points-based billing system. Each API request deducts points from your account balance based on the model selected and the number of tokens processed (prompt + completion).

If your balance reaches zero, API requests will be rejected with a 402 Payment Required error until you top up your account.
KodaAPI IP: The Service, including its software, infrastructure, documentation, trademarks, and trade dress, is owned by KodaAPI and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our name, logo, or trademarks without our prior written consent.
Your content: You retain ownership of any content or data you submit to the Service ("Input"). By submitting Input, you grant us a limited, non-exclusive, royalty-free license to process your Input solely for the purpose of providing the Service.
Model output: The copyright status of AI-generated output varies by jurisdiction and model provider. You are responsible for complying with all applicable laws regarding your use of model outputs.
We do not use your Input to train or fine-tune any AI models without your explicit consent.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
With respect to API requests, we:
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Downtime may occur due to scheduled maintenance, upstream provider outages, infrastructure failures, or events beyond our control.
We are not liable for any losses, damages, or costs arising from unavailability of the Service or of any underlying model provider.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, KodaAPI expressly disclaims all warranties, including but not limited to:

IN NO EVENT SHALL KODAAPI'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KODAAPI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability. Accordingly, some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless KodaAPI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
Either party may terminate these Terms at any time. You may close your account through the dashboard or by contacting us. We may suspend or terminate your access to the Service immediately and without prior notice if we determine, in our sole discretion, that:
Upon termination, your right to use the Service ceases immediately. Unused points are non-refundable unless required by applicable law. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will continue to apply.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where feasible, notify you by email or via a notice in the dashboard.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and may close your account.
These Terms and any disputes arising from them shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the competent courts of the applicable jurisdiction.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
